6.1. Scope of licence. Except to the extent expressly permitted under this Agreement, or unless you have received prior written authorisation from what3words, the licences granted under Clause 4 above are conditioned on your adherence to all of the restrictions below.
6.2. Access Restrictions.
(a) API Requests . You must make API Requests by using http://api.what3words.com/ .
(b) No hiding identity . You must make it clear when requesting an API key the entity on behalf of which you are making the request. You will not hide from what3words the identity of Your Product. (c) Your Products and end users. You will ensure that all employees and contractors who use the API, as well as any third parties who use Your Products (including the end users of any business to which you supply Your Product), are subject to terms and conditions which are consistent with this Agreement. You shall be responsible for and monitor their compliance with this Agreement and enforce the same against such third parties where they are in breach.
6.3. General Restrictions.
(a) Replicating our products . You shall not use the API or any what3words Data for any application that replicates or attempts to replace the essential user experience of, or which functions substantially the same as, the API or any other product or service offered by what3words. In particular, you must not allow any user of Your Products to reverse-engineer coordinates from a 3 Word Address.
(b) Display of 3 Word Addresses . You may display 3 Word Addresses in Your Products, but you must not display, or otherwise share with any third party, any 3 Word Address alongside its corresponding coordinates.
(c) Nearest Place . You may not display the “nearest place” information ascertainable from the API in Your Products (or any other product or service) unless you display it alongside a 3 Word Address.
(d) Converting 3 Word Addresses . If you need the coordinates for a 3 Word Address, you shall always make a call to our API. If you are storing a 3 Word Address with its coordinates (see Clause 6.3(e) below) and this means you already have the coordinates of a particular 3 Word Address, you shall still make an API Request to convert that 3 Word Address to coordinates. You must not store, pre-fetch, cache, index, copy, re-utilise, extract, incorporate or utilise any what3words Data or the API (or any part thereof) in any way that means you are effectively circumventing: (i) you or any third party from making an API Request to convert a 3 Word Address to coordinates; or (ii) any third party from using our API or any of our other products.
(e) Permitted data storage . You shall adhere to the following rules on storage of what3words Data, which in each case are subject the other terms to this Clause 6.3 (for example, Clause 6.3(a) and Clause 6.3(d).
(i) Storage of 3 Word Addresses without coordinates . You may store an unlimited number of 3 Word Addresses without their corresponding coordinates.
(ii) Storage of 3 Word Addresses with Coordinates: converting coordinates to 3 Word Addresses . If you have converted coordinates to 3 Word Addresses, you may store up to 100,000,000 (one hundred million) 3 Word Addresses with their corresponding coordinates, if this is strictly necessary for your product or use case.
(iii) Storage of 3 Word Addresses with Coordinates: converting 3 Word Addresses to coordinates . If you have converted 3 Word Addresses to coordinates, you may only store 3 Word Addresses with their corresponding coordinates if: (a) it is for the sole purpose of improving the performance of Your Product; (b) this storage is temporary (up to a maximum of 30 calendar days) for each 3 Word Address with coordinates; and (c) any storage is limited to the amount of data which is strictly required to achieve this purpose. Otherwise, you shall not store 3 Word Addresses with their corresponding coordinates.
(iv) Storage of coordinates derived from a 3 Word Address. You may not store the coordinates derived from a 3 Word Address (derived using any of our products) if this circumvents the need for you or a third party to make a call to our API. In particular, this includes the storage of coordinates derived from a 3 Word Address next to a traditional street address or other location information.
(f) Rules on data storage. You must ensure that any storage of what3words Data is secure and does not and cannot enable you or a third party to use that data outside of Your Product, or to re-utilise or extract that data.
(g) IP infringement . You shall endeavour to prevent any infringement of the what3words’ Intellectual Property Rights in the API, what3words Data and/or Brand Assets by any users (including customers) of Your Products, and shall promptly report to what3words any such infringement, or potential infringement, that comes to your attention.
(h) Autosuggest and error correction . You may not incorporate any error correction, autosuggest or autocomplete technology to interoperate with the API in any of Your Products, unless such technology is provided to you by what3words or its use is expressly permitted in writing by what3words.
(i) Immoral, illegal or criminal purposes . You may not use the API:
(a) for any immoral, illegal, threatening, abusive or harmful purpose;
(b) in any manner which might reasonably be considered to injure, tarnish, damage or otherwise negatively affect the reputation and goodwill associated with the what3words brand;
(c) for any purpose that is intended to cause, or may reasonably be considered to cause, a loss of life; or
(d) if you are a person, firm or entity: (i) located in any country that is subject to a trade embargo, or has been designated as a terrorist supporting country, by the United States government; (ii) that is owned or controlled by, or affiliated with, the government of any such embargoed or terrorist supporting country; or (iii) listed on any list of prohibited and restricted parties, including any terrorist organisation, published by the European Union, the United Nations or the United States Government.
what3words may terminate this Agreement upon written notice to you if what3words (acting reasonably) determines or suspects that you have breached any of the restrictions in this Clause 6.3(i).
(j) Security . You may not access our API in any manner that: (i) compromises, breaks or circumvents any of our technical processes or security measures associated with the API, including the creation or transmission of any virus, worms, trojan horse, cancel-bot or any other destructive or contaminating program, (ii) poses a security vulnerability to customers or users of the API, or (iii) tests the vulnerability of our systems or networks.
(k) Use limitation . Except as expressly authorised under this Agreement, you may not copy, rent, lease, sell, transfer, assign, sub-license, disassemble, reverse engineer or decompile (except to the limited extent expressly authorised by applicable law), modify or alter any part of the API. Insofar as you use the API for any of the purposes set out here, what3words confirms that such use is outside of the scope of any licence granted in this Agreement.
(l) Attribution . You agree to communicate how the functionality of the API works in Your Products to your end users in accordance with what3words’ reasonable instructions, which includes ensuring that any references to what3words and/or the functionality of the API in any marketing or training materials for your employees, end users and potential end users are in accordance with the brand guidelines as published on what3words’ website from time to time.
(m) Newest version . You agree to at all times use the most recent version API. However, what3words acknowledges that third parties (including end users of Your Products) may, on occasion, be using previous versions of the API where they have failed to install the latest update to Your Products (in such cases where Your Product is a compiled downloadable application) on their device.
(n) Integration Cooperation . If requested by what3words, you agree to cooperate with what3words to resolve any issues with the integration of the API into Your Product and to make any adjustments what3words deems necessary to ensure the end user experience is in line with other what3words integrations. This includes, for example, demonstrating a development version of Your Product to what3words prior to public launch, if requested by what3words. what3words agrees to act reasonably and in good faith when providing guidance and cooperating with you.
6.4. Facilitation Period for our licensees using the API for delivery purposes. As an exception to Clauses 6.3(b), (d) and 6.3(e) above, if you have been granted a limited facilitation period, as notified to you by what3words in writing, you may be entitled to pass on the latitude/longitude coordinates derived from a 3 Word Address to your delivery drivers strictly in order to facilitate deliveries to your customers (the “ Facilitation Period ”). This exception shall automatically expire six (6) months from the date of what3words’ written notification of its grant, at which point you shall no longer pass on the aforementioned latitude/longitude coordinates and all of the restrictions set out in Clause 6.3 shall apply without any exception. what3words also expressly reserves the right to automatically terminate the Facilitation Period with you at any time by notifying you in writing (email will suffice) and/or by amending this Agreement from time to time. Other than the foregoing, this Agreement shall continue to apply in its entirety and the Facilitation Period is subject to your continued compliance with this Agreement.
